Overview

This website, www.valani.com (the "Site"), is operated by Valani LLC, trading as Valani Atelier ("Valani", "we", "us" or "our"). We offer the Site, and the information, tools and services available through it, together with our private viewings and bespoke commissions (the "Services"), on the condition that you accept these Terms of Service (the "Terms") and the policies they refer to, including our Privacy Policy and Refund Policy.

By visiting the Site, placing an order or commissioning a piece, you agree to these Terms. If you do not agree, please do not use the Site or our Services. These Terms apply to every user of the Site, including visitors, clients and anyone who contributes content.

We may update these Terms at any time by posting a new version on this page. Your continued use of the Site after a change means you accept the updated Terms. The version in force when you place an order applies to that order.

Our online store is hosted by Shopify Inc., which provides the e-commerce platform we use to sell to you.

1. Using the Site

By using the Site you confirm that you are at least the age of majority where you live. You may not use the Site or our products for any unlawful or unauthorised purpose, and you may not attempt to disrupt the Site, including by transmitting viruses or other harmful code. We may suspend or end your access if you breach these Terms.

2. Our Jewelry and Gemstones

Each Valani piece is made with natural gemstones, and no two stones are identical. Colour, clarity, inclusions and proportions vary from stone to stone, and these natural characteristics are part of what makes each piece unique; they are not defects.

We photograph our jewelry with care, but screens display colour differently, and a piece may look slightly different in person. Stated carat weights, measurements and metal weights are approximate unless a certificate states otherwise.

Many colored gemstones are traditionally treated to improve their appearance or durability; for example, emeralds are commonly oiled and rubies and sapphires are commonly heated. We disclose known treatments in line with the U.S. Federal Trade Commission's Jewelry Guides. Where a piece comes with a report from an independent gemological laboratory, that report describes the stone, and laboratories may differ in their opinions.

Valani is a member of the Responsible Jewellery Council.

3. Prices and Availability

Prices are shown in U.S. dollars and may change without notice. Many of our pieces are one of a kind, so availability is limited and an item may sell before your order is confirmed. We may limit quantities, decline to sell to any person or region, and discontinue any product at any time.

If a product is listed at an incorrect price or with incorrect information because of an error, we may cancel any order for that product, even after it has been placed, and we will refund any payment taken for a cancelled order.

4. Orders and Payment

Placing an order is an offer to buy. A contract is formed only when we confirm and dispatch your order. Because our jewelry is of high value, we may verify your identity, billing and shipping details before accepting an order, and we may decline or cancel any order at our discretion, including orders that appear to be placed by resellers or that fail verification. If we cancel an order after payment, we will refund that payment in full.

You agree to give us current, complete and accurate purchase and account information, and to keep it up to date.

5. Bespoke Commissions

Bespoke and custom pieces are made to your specifications. Before work begins, we will agree the design, stones, metal, price and any deposit with you in a written quotation. We give an estimated delivery time once the scope of the piece is agreed; estimates depend on sourcing the right stones and on workshop schedules, and are not guaranteed.

Because a bespoke piece is made for you alone, any change you request after approval may affect the price and timing. Designs, sketches and renderings we create remain our intellectual property unless we agree otherwise in writing.

6. Shipping and Risk

We ship with insured, tracked services, and a signature may be required on delivery. Delivery dates are estimates. Risk of loss passes to you when your order is delivered to the shipping address you gave us. You are responsible for any import duties, taxes and fees charged by the destination country, unless we state otherwise at checkout.

7. Exchanges and Store Credit

We offer exchanges or store credit within 15 days of delivery. We do not offer refunds, except where we cancel an order as described in Sections 3 and 4, or where the law requires. To qualify, a piece must be unworn, in the condition you received it, and returned with its original packaging and any certificates or reports. Full details are in our Refund Policy.

8. Accuracy of Information

We work to keep the Site accurate and current, but it may occasionally contain typographical errors, inaccuracies or omissions relating to descriptions, pricing, promotions, shipping charges, transit times or availability. We may correct errors and update information at any time without notice, including after you have placed an order.

9. Third-Party Tools and Links

The Site may include third-party tools or links to third-party websites that we do not control. We provide them "as is", without warranty or endorsement, and we are not responsible for their content, products or practices. Please review a third party's terms before using it.

10. Your Comments and Submissions

If you send us ideas, suggestions, reviews or other materials, you agree that we may use, edit and publish them without obligation to keep them confidential, pay for them or respond. You confirm that your submissions do not infringe anyone's rights and contain nothing unlawful, abusive or harmful. Designs you commission are governed by Section 5, not this section.

11. Intellectual Property

All content on the Site, including the Valani and Valani Atelier names and logos, designs, photographs, videos and text, belongs to us or our licensors and is protected by law. You may not copy, reproduce, sell or exploit any part of the Site or our designs without our written permission.

12. Personal Information

Our handling of your personal information is governed by our Privacy Policy.

13. Prohibited Uses

You may not use the Site or its content: (a) for any unlawful purpose or to encourage unlawful acts; (b) to violate any law or regulation; (c) to infringe our intellectual property or anyone else's; (d) to harass, abuse, defame or discriminate against anyone; (e) to submit false or misleading information; (f) to upload or transmit malicious code; (g) to collect or track other people's personal information; (h) to spam, phish, scrape or crawl the Site; or (i) to interfere with or get around the Site's security features. We may end your use of the Site for any prohibited use.

14. Disclaimer of Warranties and Limitation of Liability

We do not guarantee that the Site will be uninterrupted, secure or error-free. Except as expressly stated by us, the Site and the Services are provided "as is" and "as available", without warranties of any kind, whether express or implied, to the fullest extent permitted by law.

To the fullest extent permitted by law, Valani and our directors, officers, employees, affiliates, agents, contractors, suppliers and licensors are not liable for any indirect, incidental, special, punitive or consequential damages, or for lost profits, revenue, savings or data, arising from your use of the Site or any product bought through it, whether in contract, tort (including negligence), strict liability or otherwise. Our total liability for any claim relating to a product will not exceed the price you paid for that product. Some jurisdictions do not allow these limitations, so they apply to you only to the extent the law allows.

15. Indemnification

You agree to indemnify and hold harmless Valani and our affiliates, officers, directors, employees, agents, contractors, suppliers and licensors from any claim or demand, including reasonable attorneys' fees, made by a third party because of your breach of these Terms or your violation of any law or the rights of a third party.

16. Severability and Waiver

If any part of these Terms is found unlawful or unenforceable, that part will be enforced to the extent permitted and the rest of the Terms will remain in effect. Our failure to enforce any right does not waive it.

17. Termination

These Terms remain in effect until ended by you or us. You may end them at any time by ceasing to use the Site. We may end them, or deny you access to the Services, without notice if we believe you have breached them. Obligations incurred before termination survive it.

18. Entire Agreement

These Terms, together with the policies posted on the Site and any written quotation for a bespoke commission, form the entire agreement between you and us about the Services and replace any earlier agreements or versions of these Terms. If a written quotation conflicts with these Terms, the quotation applies to that commission.

19. Governing Law

These Terms and any order placed with us are governed by the laws of the State of New York, United States, without regard to its conflict-of-law rules. Any dispute will be heard in the state or federal courts located in New York County, New York, and you consent to their jurisdiction.
